Terms of Service

These Terms of Service ("Terms") govern access to SumoSign websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, using an API key, or sending documents for signature, you agree to these Terms on behalf of yourself or the organization you represent.

The Service

SumoSign provides electronic signature workflow tools, including document upload, envelope routing, recipient signing, audit logging, webhooks, and evidence export. Features vary by plan. We may modify or discontinue features with reasonable notice where practicable.

Accounts and API keys

You are responsible for safeguarding credentials and for all activity under your account and API keys. Actions taken through a valid API key are attributed to the account holder that issued the key. You must revoke compromised keys promptly and ensure integrations comply with applicable law.

Agent and human signing

SumoSign is designed so automated agents may prepare and send envelopes while human recipients (or other explicitly authorized signers) complete signatures through signing links. You are responsible for configuring workflows, obtaining consent where required, and ensuring signers are authorized to bind the parties they represent.

Your content

You retain ownership of documents and data you submit. You grant SumoSign a limited license to host, process, transmit, and display your content solely to provide the Service. You represent that you have the rights to upload content and to request signatures from recipients you designate.

Acceptable use

You may not use the Service unlawfully, to send malware or spam, to impersonate others, to circumvent security controls, or to process data you are not authorized to handle. We may suspend access that poses risk to the platform or other customers.

Fees and billing

Paid plans are billed according to the pricing published at sumosign.app/pricing or your enterprise agreement. Fees are non-refundable except where required by law or stated in your order. Failure to pay may result in suspension.

Electronic records and signatures

SumoSign facilitates electronic signatures and records. Legal enforceability depends on jurisdiction, document type, and how the ceremony was conducted. We do not provide legal advice. You are responsible for determining whether electronic execution is appropriate for a given transaction.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUMOSIGN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA. OUR AGGREGATE LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR ONE HUNDRED US DOLLARS IF YOU HAVE NOT PAID FEES.

Termination

You may stop using the Service at any time. We may terminate or suspend access for breach of these Terms or for operational or legal reasons. Provisions that by nature should survive termination will survive.

Governing law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law principles, except where mandatory consumer protections in your jurisdiction apply. Disputes will be resolved in the courts of Singapore unless otherwise agreed in writing for enterprise customers.
